Terms and Conditions

Welcome to ONE Traders ("we," "us," or "our"). These Terms and Conditions govern all product purchases, raw material supplies, interior product orders, and technical consultancy services provided by ONE Traders to customers, contractors, and project managers ("Client," "you," or "your").

By purchasing products from us or engaging our services, you agree to be bound by these Terms and Conditions. Please read them carefully.

1. General Provisions

1. Scope of Agreement: These Terms apply to all sales, site orders, distribution agreements, and consultancy services rendered by ONE Traders.
2. Modifications: ONE Traders reserves the right to update or modify these Terms at any time without prior individual notice. The updated version will be made effective upon publication on our official platforms or notices.

2. Product Orders & Supply

1. Product Specifications: Product information, technical datasheets (TDS), safety datasheets (SDS), and application guidelines provided by ONE Traders or manufacturer partners (e.g., BASF, Sika, FOSROC, A1 Building Solutions Company Ltd.) are for informational and technical guidance.
2. Availability & Pricing: Product prices, bulk rates, and availability are subject to change based on market conditions, raw material fluctuations, and manufacturer updates. Quotations issued by ONE Traders are valid for the timeframe specified in the formal quote.
3. Custom & Tinted Orders: Orders for custom-mixed construction chemicals, tinting, or customized interior decoration items cannot be modified or canceled once processing or formulation has commenced.

3. Pricing, Invoicing, & Payment Terms

1. Payment Methods: Payments may be made via cash, bank transfer, mobile financial services (bKash/Nagad), or official account cheques, as agreed at the time of order confirmation.
2. Credit Terms: Credit arrangements, if granted, are subject to separate written agreements. Late payments beyond agreed credit windows may incur interest charges or result in immediate suspension of further supplies or site services.
3. Taxes & Levies: All prices are subject to applicable local government taxes, VAT, and tariffs unless explicitly stated otherwise in the formal invoice.

4. Delivery, Site Transit, & Unloading

1. Delivery Point: Goods will be delivered to the site address specified by the Client during order placement.
2. Site Accessibility: The Client is responsible for ensuring safe, clear, and legal access to the delivery site for transport vehicles. If transport vehicles are unable to safely enter the site, unloading will take place at the nearest accessible point.
3. Unloading & Labor: Unless explicitly included in writing, unloading operations at the project site are the sole responsibility of the Client.
4. Risk of Loss: Risk of loss or damage to goods passes to the Client upon physical delivery and sign-off at the designated delivery site or point of pickup.

5. Product Handling, Storage, & Chemical Application

1. Proper Storage: Construction chemicals, admixtures, sealants, and interior materials must be stored by the Client in strict accordance with the product’s Technical Datasheet (e.g., proper shade, ventilation, temperature control, and moisture protection). ONE Traders is not liable for product degradation due to improper site storage after delivery.
2. Application Standards: While ONE Traders provides technical support and application guidelines, physical chemical application, substrate preparation, and structural workmanship performed by third-party applicators or local labor are outside our direct operational control unless specifically contracted under a formal execution service agreement.

6. Technical Consultancy & Project Services

1. Consultancy Scope: Technical recommendations provided by ONE Traders regarding chemical selection, waterproofing methods, or interior designs are based on standard engineering practices and client-provided site information.
2. Client Site Data: The Client must provide accurate structural details, site conditions, and surface evaluations. ONE Traders is not liable for recommendations made based on incomplete, inaccurate, or undisclosed site conditions.

7. Returns, Refunds, & Cancellations

All product returns, replacements, and order cancellations are governed by our Return, Refund, and Cancellation Policy. Key highlights include:

1. Damaged, missing, or incorrect goods must be reported within 48 hours of site delivery.
2. Opened chemical pails, custom mixtures, and unsealed materials are non-refundable.

8. Limitation of Liability & Warranty

1. Manufacturer Warranties: Products distributed by ONE Traders carry standard warranties provided directly by their respective manufacturers ( BASF, Sika, FOSROC, A1 Building Solutions Company Ltd.).
2. Liability Cap: To the maximum extent permitted by applicable law, ONE Traders shall not be held liable for indirect, incidental, consequential, or punitive damages (including project delays, labor expenses, or structural downtime) arising out of product usage or service engagement.
3. Maximum Claim: In any event, ONE Traders' total cumulative financial liability shall not exceed the actual purchase price paid by the Client for the specific product or service in question.

9. Governing Law & Dispute Resolution

1. Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh.
2. Dispute Resolution: In the event of any dispute, disagreement, or claim arising out of these Terms, the parties shall first attempt to resolve the issue amicably through good-faith negotiations. Unresolved disputes shall be submitted to the exclusive jurisdiction of the competent courts in Lakshmipur, Bangladesh.
